Abstract: The improving and standardizing of the corporate governance structure is the safeguard of the sustainable development of independent colleges, and is the key to raise the level of management and the quality of education. Independent college is in the vigorous development stage, but its reality of the corporate governance structure is not as opt-i mistic as it imagines, such as: the lack of reasonable regulation and control, the lack of operating characteristics and independence, the single investment, the malfunction of Board, and so on. In response to these existing problems, the paper refers to some successful experiences of corporate governance structure, thus proposes the effective countermeasures to imp rove and standardize it
